The Tokyo office of the Firm recently represented Tsubaki Nakashima Co., Ltd. in connection with its initial public offering on the Tokyo Stock Exchange and global offering to institutional investors pursuant to Rule 144A and Regulation S under the Securities Act. All of the shares in the global offering were sold by funds affiliated with The Carlyle Group.
Tsubaki Nakashima is a global manufacturer of steel balls and precision products with leading spherical surface processing technologies. It has manufacturing and sales operations in Japan, the United States, Poland, China, India, Taiwan, the United Kingdom, Thailand, Singapore and South Korea.
The international joint lead managers for the international offering were Goldman Sachs International, Nomura International plc, UBS AG, London Branch and J.P. Morgan Securities plc.
