Blackstone Announces Recommended Offer for Japan Residential Investment Company Limited

Simpson Thacher is representing Blackstone in connection with a recommended offer by entities controlled by Blackstone Real Estate Partners Asia and Blackstone Real Estate Partners VIII for the entire issued share capital of Japan Residential Investment Company Limited ("JRIC"), which was announced on 13 November 2015, at 72 pence per share. JRIC is admitted to trading on the AIM market of the London Stock Exchange and invests in Japanese residential multifamily properties predominantly situated in major metropolitan areas which offer attractive yields and the potential for capital growth.
The offer values JRIC's entire share capital at approximately £152.6 million. Subject to JRIC shareholder approval (including approval of arrangements to terminate the portfolio's existing asset management agreements), the acquisition is expected to be completed by the end of December 2015 by way of scheme of arrangement.
