Simpson Thacher is representing Dell Inc. and Silver Lake Partners in connection with the acquisition of EMC Corporation, a data storage company headquartered in Hopkinton Massachusetts. Dell, together with its owners, Michael S. Dell, founder, chairman and chief executive officer of Dell, Silver Lake and MSD Partners, will acquire EMC, creating the largest privately controlled integrated technology company in the world. Dell will maintain VMware, Inc., an EMC subsidiary specializing in cloud and virtualization software and services, as a publicly traded company. Under the terms of the agreement, EMC shareholders will receive $24.05 per share in cash in addition to tracking stock related to EMC’s stake in the VMware business. The transaction is expected to close in the second or third quarter of Dell’s fiscal year ending February 3, 2017.
