The Firm represented Citigroup Global Markets Inc. and Goldman, Sachs & Co., as dealer managers and solicitation agents in exchange offers and related consent solicitations by Pfizer Inc. (“Pfizer”), in which Pfizer (i) offered to exchange 6.05% Notes due 2017, 5.2% Notes due 2020, 5.8% Notes due 2023 and 5.6% Notes due 2040 (the “Hospira Notes”), issued by Hospira, Inc., a company recently acquired by Pfizer, for new 6.05% Notes due 2017, 5.2% Notes due 2020, 5.8% Notes due 2023 and 5.6% Notes due 2040 issued by Pfizer and (ii) solicited consents to amend the Hospira indenture governing the Hospira Notes and the Hospira Notes.
