TransUnion’s IPO Raises $764 Million

The Firm recently represented TransUnion (“TRU”), a portfolio company of Advent International Corporation and GS Capital Partners, in connection with its initial public offering of common stock. The offering of 33,977,273 shares of common stock, which included the underwriters’ option to purchase 4,431,818 additional shares, raised approximately $764 million in gross proceeds. The shares of TRU are now listed on the New York Stock Exchange under the ticker symbol “TRU.” TransUnion expects to use the proceeds of the initial public offering to repay existing indebtedness.
Goldman, Sachs & Co., J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated and Deutsche Bank Securities Inc. acted as joint bookrunning managers for the offering. RBC Capital Markets, LLC, Wells Fargo Securities, LLC, Credit Suisse Securities (USA) LLC, Evercore Group L.L.C., Stifel, Nicolaus & Company, Incorporated, Drexel Hamilton, LLC and Loop Capital Markets LLC acted as co-managers for the offering.
