Simpson Thacher represented Oakley Capital Investments Limited in connection with its placing of 78,787,879 new ordinary shares to raise gross proceeds of approximately £130 million from existing and new investors. The placing was announced on March 26, 2015 and is conditional, amongst other things, upon the passing of a shareholder resolution. Admission of the placing shares to trading on the AIM market of the London Stock Exchange is expected on April 20, 2015.

Oakley Capital Investments Limited, an AIM-listed company (LON: OCL), was established to provide investors with access to the investment strategy being pursued by Oakley Capital’s private equity funds, the most recent of which, OCPE II Master L.P., closed on total commitments of €524 million in December 2014. The funds’ investment strategy is to focus primarily on private mid-market U.K. and European businesses. It is intended that the entire net proceeds of the placing will be committed to co-investment opportunities alongside the funds.
