The Firm recently represented the initial purchasers in connection with InterDigital, Inc.’s (“InterDigital”) offering of $316 million aggregate principal amount of 1.50% Senior Convertible Notes due 2020, which includes the full exercise of an overallotment option of $41 million aggregate principal amount of notes. Barclays Capital Inc. and Goldman, Sachs & Co. acted as joint bookrunning managers for the notes offering. B. Riley & Co., LLC and Cowen and Company, LLC acted as co-managers. The notes offering closed on March 11, 2015.
In addition, the Firm represented Barclays Capital Inc. and Goldman, Sachs & Co. and their respective affiliates in connection with convertible bond-hedge transactions and warrant transactions relating to shares of common stock of InterDigital, entered into concurrently with such notes offering.
