Simpson Thacher represented Citigroup Global Markets Inc. and KKR Capital Markets LLC in their role as initial purchasers in the recent $600 million offering by WMI Holdings Corp. of shares of its 3.00% Series B Convertible Preferred Stock. The offering was conducted in reliance on Rule 144A. The net proceeds from the offering are expected to be used by WMI to explore and fund acquisitions and related expenses.
