Simpson Thacher represented JPMorgan Chase Bank, N.A., as the Administrative Agent, and J.P. Morgan Securities LLC and Wells Fargo Securities, LLC, as the Joint Lead Arrangers, in connection with the financing for 1-800-FLOWERS.COM’s announced acquisition of Harry & David Holdings, Inc. The transaction is expected to close in October 2014 and is subject to satisfaction of customary closing conditions, including regulatory approval.
