Firm Represents the Initial Purchasers in Offering of US$150 Million 3.50% Convertible Senior Notes of Trina Solar Limited and the Banks in Related Equity Derivative Transactions

The Firm recently represented the initial purchasers led by Deutsche Bank Securities Inc., Barclays Capital Inc., J.P. Morgan Securities LLC and Goldman Sachs (Asia) L.L.C. in connection with the offering by Trina Solar Limited of US$150.0 million principal amount of 3.50% Convertible Senior Notes due 2019 (the “notes”) pursuant to Rule 144A and Regulation S.  The firm also represented the initial purchasers (or their affiliates) in related zero-strike call option transactions with Trina Solar Limited (the "call options").  The call options reference American depositary shares (“ADSs”) representing ordinary shares of Trina Solar Limited.
 
Trina Solar Limited is an integrated solar power products manufacturer based in China. The ADSs of Trina Solar Limited are listed and traded on the New York Stock Exchange under the symbol “TSL”.
