Pinnacle Foods’ $6.6 Billion Acquisition by Hillshire Brands

Simpson Thacher is representing Pinnacle Foods Inc. (“Pinnacle”), a portfolio company of The Blackstone Group, in connection with its $6.6 billion acquisition by The Hillshire Brands Company (“Hillshire”).  The transaction, which is subject to customary regulatory and shareholder approvals, is expected to close by September 2014.  Certain affiliates of The Blackstone Group, which collectively hold approximately 51% of Pinnacle’s outstanding common stock, have entered into a voting agreement and, subject to its terms and conditions, agreed to vote their shares in favor of the transaction.

Pinnacle Foods is a leading producer, marketer and distributor of high-quality branded food products that oversees brands such as Duncan Hines, Birds Eye, Vlasic, Wish-Bone and Snyder of Berlin.  Hillshire Brands is a leader of branded meat products including Jimmy Dean, Ball Park, Hillshire Farm and Sara Lee.
