Simpson Thacher Represents Dealer Manager in Modified “Dutch Auction” Tender Offer by Taro Pharmaceutical Industries

The Firm represented J.P. Morgan Securities LLC as the dealer manager in connection with a modified “Dutch auction” tender offer by Taro Pharmaceutical Industries Ltd. for up to $200 million of its ordinary shares. The tender offer expired on December 23, 2013 and settlement for the tender offer occurred on December 30, 2013. Approximately $191 million of shares were acquired in the tender offer, representing approximately 4.4% of the total number of Taro’s issued and outstanding ordinary shares as of November 20, 2013.
Taro Pharmaceutical Industries Ltd. is a multinational, science-based pharmaceutical company incorporated under the laws of the State of Israel. Taro develops, manufactures and markets prescription and OTC pharmaceutical products primarily in the United States, Canada and Israel. Its primary areas of focus include pediatric creams and ointments, liquids, capsules and tablets, mainly in the dermatological and topical, cardiovascular, neuropsychiatric and anti-inflammatory therapeutic categories.
