(NYSE: GWR), a short line and regional railroad company with operations in the United States, Australia, Canada, the Netherlands and Belgium, in connection with the sale by investment funds associated with The Carlyle Group (the “Selling Stockholders”) of 5,984,232 shares (the “Shares”) of Class A Common Stock, par value $0.01 per share of Genesee & Wyoming Inc. The Shares were sold at a price of $97.04 per share, which resulted in $580,709,873 of proceeds to the Selling Stockholders before expenses.
