Simpson Thacher Represents Deutsche Bank and Goldman Sachs in US$150 Million Offering of Global Depositary Shares by Kolao Holdings

The Firm represented Deutsche Bank AG, Hong Kong Branch and Goldman Sachs International, as initial purchasers, in connection with the offering of 11,180,000 global depositary shares (“GDSs”) representing 5,590,000 ordinary shares of Kolao Holdings, with an aggregate offering price of US$150 million. Kolao Holdings sold 9,680,000 GDSs representing 4,840,000 ordinary shares and Mr. Sei Young Oh, Chairman of Kolao Holdings, sold 1,500,000 GDSs representing 750,000 ordinary shares as selling shareholder. The GDSs have been offered in offshore transactions outside the United States in reliance on Regulation S under the Securities Act, and will be listed on the Singapore Stock Exchange.
Kolao Holdings is a holding company incorporated in the Cayman Islands and listed on the Korea Exchange. Its wholly-owned primary operating subsidiary, Kolao Developing Co., Ltd., is a leading automobile and motorcycle distributor in Laos with approximately 35% market share in the Lao automobile market and approximately 37% in the Lao motorcycle market in terms of units sold in the first half of 2013.
