Simpson Thacher Represents Embotelladora Andina S.A. in US$575 Million International Bond Offering

The firm recently represented Embotelladora Andina S.A. (“Andina”) in an offering of US$575 million aggregate principal amount of 5.000% notes due 2023. The notes were offered and sold pursuant to Rule 144A and Regulation S of the U.S. Securities Act of 1933.
Andina is a Chilean company that produces, markets and distributes beverages under The Coca-Cola Company trademarks in Chile, Brazil, Argentina and Paraguay. It is one of the largest bottlers of Coca-Cola trademark beverages in Latin America, in terms of sales volume. On October 1, 2012, Andina acquired Embotelladoras Coca-Cola Polar S.A., a Coca-Cola bottler with operations in Chile, Argentina and Paraguay. On July 10, 2013, Andina agreed to acquire Companhia de Bebidas Ipiranga (“Ipiranga”), a Coca-Cola bottler with operations in Brazil. Andina intends to use the proceeds from the offering to finance a portion of the purchase price for the acquisition of Ipiranga and for other general corporate purposes.
