Simpson Thacher Represents Ferrer Freeman in Announced Structured Secondary Transaction with Morgan Stanley AIP

The Firm has represented Ferrer Freeman & Company, LLC (“FFC”) in connection with its structured secondary transaction with Morgan Stanley Alternative Investment Partners (“Morgan Stanley AIP”) for FFC Partners III, L.P. (“Fund III”), a healthcare focused private equity fund managed by FFC. In the transaction, Morgan Stanley AIP bought out the interests of certain existing investors in the remaining investments of Fund III, and the term over which those investments could be managed by FFC was extended. The transaction represents an innovative means of providing Fund III limited partners with the opportunity to either receive liquidity on their current investment in Fund III or participate in the longer term growth potential of Fund III’s remaining investments. Terms of the transaction were not disclosed.

 

FFC, founded in 1995, is a healthcare focused private equity firm that has invested over $900 million in 36 portfolio companies.
