Simpson Thacher Achieves Second Circuit Affirmance of Dismissal of Securities Fraud Complaint Against Underwriter

On May 15, 2012, the Second Circuit affirmed a Southern District of New York decision granting with prejudice firm client Goldman, Sachs & Co.’s motion to dismiss a securities fraud complaint brought against it by Liberty Mutual Insurance Company and several other affiliated plaintiffs. Liberty Mutual alleged that Goldman was liable for alleged misstatements made in offering documents for two series of Fannie Mae preferred stock issued in the Fall of 2007, for which Goldman was an underwriter.
