Simpson Thacher corporate partner Daniel Webb was quoted in a Compliance Week article, “Companies Prepare for Disclosure on Social Media,” which was published on May 7, 2013. The article discusses the recent Securities and Exchange Commission (SEC) guidance on how companies can use social media in compliance with Regulation Fair Disclosure (Regulation FD) to announce material information, such as earnings. Mr. Webb noted that its critical to “make sure the executives understand that those sorts of communications through personal channels will be deemed in the SEC's eyes to effectively be communications on behalf of the company. Treat them like any other communication with a group of investors.”
