Simpson Thacher was recently awarded two 2012 Deals of the Year by Asian-MENA Counsel. The Firm received a Capital Markets Deal of the Year for its representation of the international managers in connection with the ¥663 billion (approximately $8.5 billion) initial public offering of Japan Airlines Co., Ltd. on the Tokyo Stock Exchange. Simpson Thacher also received a Finance Deal of the Year for our representation of Credit Suisse (Hong Kong) Limited and Morgan Stanley Asia Limited as joint placement agents in connection with the private placement of convertible preference shares by Alibaba Group Holding Limited, which raised approximately $1.8 billion. The placement of convertible preference shares was part of a financing package that represented the largest private financing for a private sector Chinese company, and the largest ever non-LBO private financing for a technology company globally. The Firm was also recognized with four Honorable Mentions for our roles on the following transactions, including the representation of: Bank of Communications’ in its $8.9 billion private share placement; the initial purchasers in connection with an offering of US$1 billion aggregate principal amount of 1.75% Notes due 2017 by Samsung Electronics America, Inc., a U.S. subsidiary of Samsung Electronics Co., Ltd.; hiSoft Technology International in connection with its stock-for-stock merger with VanceInfo Technologies valued at US$875 million; and Goodman Global Group, Inc. and its controlling shareholders, investment funds affiliated with Hellman & Friedman LLC, in connection with Goodman Global’s $3.7 billion sale to Daikin Industries, Ltd.
