Executive Compensation and Employee Benefits senior associate Jennifer M. Wolff spoke on a panel at the program "What Benefit Provisions Should Be In M&A Credit Agreements?" on November 29, 2012. The program was sponsored by the ABA Joint Committee on Employee Benefits. The panel focused on the basics of what employee benefit practitioners should know when negotiating credit agreements and other loan documents in mergers and acquisitions. In particular, the speakers discussed an overview of the loan documents, standard employee benefit representations and covenants in loan documents, key terms used in loan documents, an overview of both the lender and debtor perspective of benefit issues and special concerns if private equity companies are involved.
