Simpson Thacher represented the committee of independent directors of Tetragon Financial Group Limited (TFG) in the acquisition of Polygon Management L.P.’s (Polygon) asset management businesses and infrastructure platform, along with Polygon's interests in LCM Asset Management LLC ("LCM") and GreenOak Real Estate ("GreenOak"), for an aggregate of 11,685,940 TFG non-voting shares. Certain non-core Polygon assets were not included in the transaction. The transaction was completed on October 28, 2012.
TFG is a Guernsey closed-ended investment company traded on Euronext Amsterdam by NYSE Euronext under the ticker symbol “TFG” that currently invests primarily through long-term funding vehicles such as collateralized loan obligations in selected securitized asset classes and aims to provide stable returns to investors across various credit, equity, interest rate and real estate cycles.
