Simpson Thacher is representing The Talbots, Inc. (“Talbots”) and Sycamore Partners in connection with the announced agreement by the Retail Services business of Alliance Data Systems Corporation (“Alliance Data”) to provide private label credit card services for Talbots.  In addition, Alliance Data will acquire Talbots’ existing credit card accounts for approximately $145 million. The transaction is subject to customary conditions.

Talbots, a wholly owned subsidiary of Sycamore Partners' TLB Holdings, LLC, is a leading specialty retailer and direct marketer of women's apparel, shoes and accessories.  Alliance Data (NYSE: ADS) is a leading provider of transaction-based, data-driven marketing and loyalty solutions serving large, consumer-based industries.
