The Firm recently represented BofA Merrill Lynch, as Dealer Manager and Solicitation Agent, in connection with an exchange offer conducted by Controladora Mabe, S.A. de C.V. (Mexico), pursuant to which Mabe offered its 7.875% Senior Guaranteed Notes due 2019 in exchange for its outstanding 6.500% Senior Guaranteed Notes due 2015. The exchange offer was made on a private placement basis.  In connection with the exchange offer, Mabe solicited consents to certain amendments to the indenture pursuant to which the 6.500% Senior Guaranteed Notes due 2015 were issued.

Mabe is a leading manufacturer and distributor of ranges, refrigerators, clothes dryers and washing machines.  Founded in 1946 and operating as a joint venture with General Electric Company since 1987, Mabe currently has operations throughout North, Central and South America.
