Simpson Thacher corporate partner Patrick Ryan will co-chair and speak and corporate partner Marissa Wesely will speak at Practising Law Institute’s “Leveraged Financing 2012” Program on May 2, 2012 in New York. The program will examine key concepts and strategies in serving leveraged companies, including portfolio companies of private equity firms.

Mr. Ryan will give the introduction to the program and will participate on a panel entitled "Leveraged Financing Today," which will provide a market overview and discuss private equity strategies, refinancing needs and techniques, sources of financing, trends in deal structures and terms, product, market and geographic comparisons, and the impact of regulatory reform and accounting changes.

Ms. Wesely will speak on a panel entitled "Financing Commitments and Acquisition Agreement Terms: Acquisition Agreement Terms in Leveraged Transactions," which will cover topics including: the financing assistance covenant; liability limitations and reverse termination fee provisions; "mini-financing out” provisions (leverage ratio versus EBITDA); and relationship to financing commitments.
