Simpson Thacher Represents Underwriters in $300 Million Debt Offering for Domtar Corporation

The Firm recently represented the underwriters, led by J.P. Morgan, Deutsche Bank Securities and Goldman, Sachs & Co., in a public offering of $300 million of 4.40% Senior Notes due 2020 by Domtar Corporation.  The Notes are guaranteed by certain subsidiaries of Domtar Corporation.

The Firm also represented J.P. Morgan and Deutsche Bank Securities, as dealer managers, in a concurrent tender offer to repurchase up to $250 million of Domtar Corporation’s outstanding 10.75% Notes due 2017, 9.5% Notes due 2016, 7.125% Notes due 2015 and 5.375% Notes due 2013.

Domtar Corporation will use the net proceeds of the debt offering to repurchase the Notes tendered in the tender offer and for general corporate purchases.

Domtar Corporation designs, manufactures, markets and distributes a wide variety of fiber-based products, including communication papers, specialty and packaging papers, and adult incontinence products.  It is the largest integrated marketer and manufacturer of uncoated freesheet paper in North America.
