Joseph H. Kaufman to Speak at PLI’s "Securities Offerings 2012" Program on April 11, 2012

Simpson Thacher corporate partner Joseph H. Kaufman will speak at Practising Law Institute's “Securities Offerings 2012: A Public Offering: How it is Done” program on April 11, 2012 in New York.  Mr. Kaufman will speak on four panels. 

 

The first panel entitled “Introduction to the Law of Securities Offerings” will address: understanding the legal framework for securities offerings under the Securities Act; the "Quiet" Period, the "Waiting" Period and the "Post-Effective" Periods and the differences among them; and publicity restrictions and information practices, including free writing prospectuses, road shows and the use of the Internet and electronic dissemination of information.

 

The second panel entitled "Due Diligence and the Offering Process" will focus on: liability provisions and remedies under the Securities Act; importance of due diligence in the offering process, including comfort letters and 10b-5 statements; role of participants in the offering process; and ethical issues in the underwriting process.

 

The third panel entitled "Important Financial Statements and Accounting Disclosures” will discuss: the critical financial information that forms the backbone of disclosures in securities offerings, including annual financial statements, interim financial statements, management’s discussion & analysis and pro formas; substantive financial disclosure and accounting problem areas relevant to securities offerings; and rules on use of non-GAAP measures such as EBITDA.

 

The fourth panel entitled "Hot Topics" will address: current SEC agenda items affecting the offering process; new and evolving disclosure standards; and global events and the impact on securities offerings.
