Simpson Thacher Represents Genesee & Wyoming Inc. in Acquisition of Arizona Eastern Railway Company

The firm represented Genesee & Wyoming Inc. (“GWI”) in its signing of a definitive agreement to acquire Arizona Eastern Railway Company (“AZER”) from Iowa Pacific Holdings, LLC for $90.1 million in cash, subject to adjustment for final working capital. The acquisition is subject to customary closing conditions. The transaction was announced August 2, 2011.
AZER is composed of two rail lines operating over 200 track miles in southeast Arizona and southwest New Mexico. The largest customer on AZER is the publicly traded copper producer, Freeport-McMoRan Copper & Gold Inc. AZER will become part of GWI’s newly created Mountain West Region.
