Simpson Thacher Represents Arch Coal in $2.0 Billion Senior Notes Offering

The Firm represented Arch Coal, Inc. (NYSE: ACI) in connection with its Rule 144A offering of $2.0 billion of senior notes, consisting of $1.0 billion of 7.000% senior notes due 2019 and $1.0 billion of 7.250% senior notes due 2021. The senior notes are guaranteed by Arch’s subsidiaries that also guarantee indebtedness under its senior secured credit facility.
Arch Coal, one of the world’s largest private sector producers of steam and metallurgical coal, used the net proceeds of the senior notes offering to finance a portion of the $3.4 billion purchase price for its recently completed acquisition of International Coal Group, Inc. After giving effect to the acquisition, Arch Coal represents the second largest publicly traded coal producer in the United States based on pro forma 2010 sales of approximately 179 million tons of coal.
