Simpson Thacher is representing Pola Orbis Holdings Inc. (“Pola Orbis”) in connection with its announced acquisition of all of the equity interests of H2O Plus Holdings, LLC (“H2O Plus”). The transaction is expected to close, subject to satisfaction of customary closing conditions, during the third calendar quarter of 2011. Terms of the transaction were not disclosed.
H2O Plus, based in Chicago, Illinois, is a leading developer, manufacturer and marketer of prestige branded water-based skincare products utilizing “water plus” natural sea-derived nutrients for the face and body. Pola Orbis, through its subsidiaries, is one of the largest skincare and cosmetics firms in Japan.
