Simpson Thacher Represents KKR in Sale of Hilcorp Joint Venture to Marathon Oil

The Firm is representing Kohlberg Kravis Roberts & Co. L.P. in connection with Marathon Oil Corporation’s agreement to acquire Hilcorp Resources, LLC, a subsidiary of Hilcorp Resources Holdings, LP, in a transaction valued at $3.5 billion. The transaction, which is subject to closing adjustments and customary terms and conditions, is expected to close on November 1, 2011.
Hilcorp Resources Holdings, LP, is a joint venture among affiliates of Hilcorp Energy Company and KKR, created to own and develop Hilcorp’s oil and gas properties located in the Eagle Ford Shale trend of South Texas.
The Simpson Thacher team for the transaction includes Andrew Smith, William Freiberg, Jason Breen and Moiz Ali (M&A), Nancy Mehlman (Tax) and Joe Tringali (Antitrust).
