The Firm represented BofA Merrill Lynch and J.P. Morgan, as initial purchasers, in connection with an offering of U.S.$300 million of 5.70% Notes due 2021 issued by Gruposura Finance, a Cayman Islands company, and guaranteed by Grupo de Inversiones Suramericana S.A. (which is known as GRUPOSURA), a Colombian corporation. The offering was conducted in reliance upon Rule 144A and Regulation S under the U.S. Securities Act of 1933 and constituted GRUPOSURA’s inaugural securities offering in the U.S. and other international capital markets.
GRUPOSURA is the principal shareholder of a group of leading companies that operate primarily in Colombia. The group’s companies include: Bancolombia S.A., the largest bank in Colombia; Suramericana S.A., the holding company for the largest life and property and casualty insurance companies in Colombia; Grupo Nutresa S.A., the largest processed food conglomerate in Colombia; and Inversiones Argos S.A., the majority owner of Cementos Argos, S.A., Colombia’s largest cement producer, as well as of Compañía Colombiana de Inversiones S.A. E.S.P., Colombia’s fourth largest electric generation company.
