Simpson Thacher represented the initial purchasers, led by UBS Securities LLC and Goldman, Sachs & Co., in connection with Dresser-Rand Group Inc.’s (“Dresser-Rand”) offering of $375.0 million aggregate principal amount of 6.50% Senior Subordinated Notes due 2021 pursuant to Rule 144A and Regulation S. A portion of the proceeds from the notes offering was used to fund a cash tender offer and consent solicitation for any and all of Dresser-Rand’s outstanding 7-3/8% Senior Subordinated Notes due 2014. Simpson Thacher also represented UBS Securities LLC in its capacity as dealer manager in connection with the tender offer and consent solicitation.
