Simpson Thacher represented Morgan Stanley & Co. Incorporated and RBC Capital Markets, LLC, as representatives of the initial purchasers, in connection with a Rule 144A offering by Apollo Investment Corporation (“Apollo”) of $200 million principal amount of its 5.75% Senior Convertible Notes due 2016 (the “Notes”). The Notes are contingently convertible into shares of Apollo Investment Corporation common stock.
Apollo is a leading provider of subordinated debt and equity capital to middle-market companies. Apollo’s portfolio is comprised primarily of investments in subordinated loans and senior secured loans of private middle-market companies with equity interests such as warrants or equity co-investments. Apollo is registered with the SEC as a business development company under the Investment Company Act of 1940.
