Simpson Thacher Represents Technology Crossover Ventures in Minority Investment in OSIsoft, LLC

Simpson Thacher represented Technology Crossover Ventures in its minority investment in San Leandro, California-based software company OSIsoft, LLC.  TCV and Kleiner Perkins Caufield & Byers together invested an aggregate of $135 million in OSIsoft in exchange for a significant minority equity interest.  As part of the transaction, representatives of TCV and KPCB joined OSIsoft’s board of directors. 

Founded in 1980, OSIsoft is a recognized leader of solutions for collecting, managing and analyzing operational data.  OSIsoft’s PI System is the industry standard in enterprise infrastructure for management of real-time data and events. With installations in 107 countries spanning the globe, the OSIsoft PI System is used in manufacturing, energy, utilities, life sciences, data centers, facilities, and the process industries.  

The Simpson Thacher team working on the transaction included Tom Wuchenich, Jeffrey Joseph, Steven Sutton and Margaret Rubin (Corporate), Daniel Foster (Tax), Victoria Stewart and Grace Lin (Executive Compensation and Employee Benefits), Keren Siman-Tov (Intellectual Property) and Alexis Coll-Very (Litigation).
