Simpson Thacher recently represented Estácio Participações S.A. and the selling shareholders in connection with the initial public offering of 36,083,564 common shares, including overallotment shares. The shares were offered to the public in Brazil, to qualified institutional buyers in the United States under Rule 144A and to non-U.S. persons under Regulation S. The transaction raised approximately US$410 million in aggregate proceeds.
Estácio is the second largest private provider of post-secondary education in Brazil, with 214,800 undergraduate and graduate enrolled students and a learning network including two universities, two university centers, 25 colleges and 52 distance learning centers located in major urban centers in 16 states throughout Brazil.
