The Tokyo office of Simpson Thacher & Bartlett recently represented Shinsei Bank, Limited in an exchange offer in which Shinsei Bank exchanged €347,228,000 aggregate principal amount of newly-issued subordinated notes for certain amounts of its outstanding euro-denominated and pound sterling-denominated subordinated notes. The exchange offer was conducted pursuant to Regulation S.
Shinsei Bank is a leading diversified Japanese financial institution, with total assets of approximately ¥11 trillion. The bank emerged from temporary nationalization in March 2000 as the successor to The Long-Term Credit Bank of Japan, Limited, which itself was founded in 1952.
