Simpson Thacher Represents Initial Purchasers in $3.25 Billion Notes Offering by Oracle Corporation

The Firm recently represented the initial purchasers, led by BofA Merrill Lynch, BNP Paribas and J.P. Morgan, in an offering by Oracle Corporation of $1.0 billion in principal amount of 3.875% Senior Notes due 2020 and $2.25 billion in principal amount of 5.375% Senior Secured Notes due 2040. Oracle is the world’s most complete, open, and integrated business software and hardware systems company. The offering of notes was made to qualified institutional buyers in reliance on Rule 144A under the Securities Act and outside the United States to non-US persons in accordance with Regulation S under the Securities Act.
