Simpson Thacher Represents Initial Purchasers in US$612 Million Debt Offering by BM&FBOVESPA

The Firm recently represented Bank of America Securities LLC, Banco Bradesco S.A. – Grand Cayman Branch, HSBC Securities (USA) Inc. and J.P. Morgan Securities Inc., as initial purchasers in connection with a US$612 million offering of 5.50% Notes due 2020 issued by BM&FBOVESPA S.A. – Bolsa de Valores, Mercadorias e Futuros. BM&FBOVESPA is one of the largest securities exchanges in the world in terms of market value and the second largest in the Americas.
The net proceeds of the offering will be used to increase BM&FBOVESPA’s equity participation in the Chicago Mercantile Exchange – CME Group and for general corporate purposes. BM&FBOVESPA has a strategic partnership with the CME Group to, among other things, pursue strategic investments and commercial opportunities and to jointly develop a multi-asset class trading platform.
