Simpson Thacher Represents Swire Pacific in its HK$6.8 billion Tender Offer for HAECO Shares

The Firm is acting as U.S. counsel to Swire Pacific in connection with its HK$6.8 billion tender offer for shares of Hong Kong Aircraft Engineering Company Limited (“HAECO”). On June 14, 2010, Swire Pacific completed the purchase from Cathay Pacific of HAECO shares representing approximately 15.00% of the issued share capital of HAECO. Upon completion of the transaction, Swire Pacific owned HAECO shares representing approximately 61.96% of the issued share capital of HAECO, and as a result, Swire Pacific was required to make a mandatory unconditional general offer in cash for issued HAECO shares not already owned by Swire Pacific or its subsidiaries. Based on the tender offer price, the entire issued share capital of HAECO is valued at approximately HK$17.5 billion. HAECO is a Hong Kong-listed, leading aeronautical engineering group with a diverse line of business servicing the aeronautical industry.
