Simpson Thacher Represents Initial Purchasers in Sale of €100 Million Additional Senior Notes by the TVN Group

The Firm recently represented J.P. Morgan and Nomura as initial purchasers in a secondary sale of €100 million of 10¾% Senior Notes due 2017 of the TVN Group, an integrated multi-media company based in Poland that is a leader in television broadcasting, online media and direct-to-home satellite TV in Poland. The Notes were sold by ITI Media Group N.V. and Strateurop International B.V., who were issued the Notes in March 2010 as part of a sale of assets to the TVN Group. The offering of notes was made to qualified institutional buyers in reliance on Rule 144A under the Securities Act and outside the United States to non-U.S. persons in accordance with Regulation S under the Securities Act.
