The Firm represented the initial purchasers, led by J.P. Morgan, in connection with the issuance by Western Express, Inc. of $285 million aggregate principal amount of 12.500% Senior Secured Notes due 2015. The notes were offered and sold to qualified institutional buyers in reliance on Rule 144A under the Securities Act and outside the United States to non-U.S. persons in reliance on Regulation S under the Securities Act. The transaction closed on April 16, 2010.
