Simpson Thacher corporate partner Joseph H. Kaufman will speak at Practising Law Institute's "Securities Offerings 2010: From the Kickoff Meeting to the Closing Dinner - Getting Your Deal Done in a Changing Marketplace" program on April 22, 2010 in New York. Mr. Kaufman will speak on three panels. The first panel entitled “Introduction to the Law of Securities Offerings” will address understanding the legal framework for securities offerings under the Securities Act, publicity restrictions and information practices and liability provisions, due diligence and remedies under the Securities Act. The second panel entitled “Financial Statements and Accounting Matters” will address critical financial information that forms the backbone of disclosures in securities offerings, substantive financial disclosure and accounting problem areas relevant to securities offerings and rules on use of non-GAAP measures such as EBITDA. The third panel entitled “Hot Topics” will address current SEC agenda items affecting the offering process, implications of increased enforcement of the Foreign Corrupt Practices Act and current developments with accounting standards as they relate to financial reporting questions.
