The Firm recently represented the initial purchasers, led by J.P. Morgan and Goldman, Sachs & Co., in an offering by Brocade Communications Systems, Inc. of $300 million in principal amount of 6.625% Senior Secured Notes due 2018 and $300 million in principal amount of 6.875% Senior Secured Notes due 2020. Brocade is a leading supplier of networking equipment, including end-to-end Internet Protocol-based Ethernet networking solutions and storage area networking solutions, for Global 1000 enterprises and service providers such as telecommunications firms, cable operators and mobile carriers. The offering of notes was made to qualified institutional buyers in reliance on Rule 144A under the Securities Act and outside the United States to non-US persons in accordance with Regulation S under the Securities Act.
