Simpson Thacher Represents Anhanguera Educacional Participações S.A. and the Selling Shareholders in $428 Million Follow-on Equity Offering

Simpson Thacher recently represented Anhanguera Educacional Participações S.A. and the selling shareholders in connection with the 100% secondary offering of 33,350,000 units, including the units sold in connection with the exercise in full of the over-allotment option. The principal selling shareholder, Fundo de Educação para o Brasil—Fundo de Investimento em Participações, is controlled by Pátria Investimentos, a leading Brazilian private equity firm. The units were offered to the public in Brazil, to qualified institutional buyers in the United States under Rule 144A and to non-U.S. persons under Regulation S. The transaction raised approximately US$428.1 million in proceeds.

Anhanguera Educacional Participações S.A. is the largest publicly-held education company in Brazil in terms of market value. It offers educational opportunities that enable working adults to achieve their career goals by furthering their professional development and increasing their potential for success in the workplace, with over 250,000 students enrolled in 54 campuses, over 450 learning centers, and more than 650 vocational training centers located throughout each of the 26 Brazilian states and Brasília, the Federal District.
