Simpson Thacher is representing Goldman, Sachs & Co. in its role as financial advisor to Starent Networks, Corp. ("Starent") in connection with Starent’s acquisition by Cisco Systems, Inc. ("Cisco"). Under the terms of the agreement, Cisco will pay $35.00 in cash for each share of Starent and assume outstanding equity awards for an aggregate purchase price of approximately $2.9 billion. The transaction is expected to close during the first half of calendar year 2010, subject to customary closing conditions and regulatory reviews.

Starent is a leading provider of infrastructure solutions that enable mobile operators to deliver multimedia services to their subscribers. Starent's products have been deployed by over 100 mobile operators in 45 countries.
