Simpson Thacher Represents Goldman Sachs as Financial Advisor in Acquisition of 3Com by Hewlett-Packard

Simpson Thacher is representing Goldman, Sachs & Co. in its role as financial advisor to 3Com Corporation in connection with 3Com’s acquisition by Hewlett-Packard Company. Under the terms of the agreement, Hewlett-Packard will pay $7.90 in cash for each share of 3Com and assume outstanding equity awards for an aggregate purchase price of approximately $2.7 billion. The transaction is expected to be completed in the first half of 2010, subject to certain conditions, including necessary approvals from regulators.
3Com is a global enterprise networking solutions provider that offers high-performance networking and security solutions. Hewlett-Packard provides a portfolio of solutions that spans printing, personal computing, software, services and IT infrastructure.
