Simpson Thacher recently represented Medcom Holdings, Inc. in connection with the merger of its indirect subsidiary Cable Onda, S.A. with Telecarrier, Inc. The combined entity will be owned 51% by Medcom and 49% by Telecarrier International Limited and related shareholders. The merger transaction was consummated following conclusion of an auction process managed by JPMorgan.
Cable Onda is the largest provider of pay-TV services in Panama and of wide-band internet and telephone services primarily to the residential market. Telecarrier is a provider of broad-band internet and telephone services primarily to commercial customers in Panama and also offers various telecommunications solutions, including data center services, routers and security administration, to international carriers.
