Simpson Thacher Represents Initial Purchasers in €405 Million Senior Notes Offering by the TVN Group

The Firm recently represented J.P. Morgan and Nomura, as representatives of the several initial purchasers, in a €405 million offering of 10¾% Senior Notes due 2017 by the TVN Group, an integrated multi-media company based in Poland that is a leader in television broadcasting, online media and direct to home satellite TV in Poland. The issuer of the notes is TVN Finance Corporation II AB, a wholly owned Swedish finance subsidiary of TVN S.A. The offering of notes was made to qualified institutional buyers in reliance on Rule 144A under the Securities Act and outside the United States to non-U.S. persons in accordance with Regulation S under the Securities Act.
