Simpson Thacher Represents the Initial Purchasers in US$1 Billion Offering of 5.375% Notes due 2014 by Korea National Oil Corporation

The Firm recently represented Barclays Capital, BNP Paribas, BofA Merrill Lynch, Deutsche Bank, J.P.Morgan and KDB in a US$1,000,000,000 offering of 5.375% Notes due 2014 issued by Korea National Oil Corporation (“KNOC”), a Korean oil and gas company wholly owned by the Korean government. KNOC is one of the key government-controlled companies executing government policies in Korea, and operates oil and gas fields in Vietnam, Libya, Peru, Indonesia, Nigeria, Yemen, Kazakhstan, Russia, Canada and Korea. The offering was conducted in reliance upon Rule 144A and Regulation S under the U.S. Securities Act of 1933.

The Simpson Thacher team for the transaction included Youngjin Sohn, Kristina Kang, Yeon Jin Seong and Sarah Park (Corporate) in Hong Kong, and Seojung Park (Tax), Brian Robbins and Jeanne Annarumma (Executive Compensation and Employee Benefits), and Andrew Pagliughi (Blue Sky) in New York.
