The Tokyo office of the Firm recently represented the international underwriters, led by Nomura International plc, in a global offering of common stock by Nomura Holdings, Inc. that raised $5.1 billion for the issuer. The portion of the global offering conducted outside of Japan included a private placement to qualified institutional buyers in the United States in a manner exempt from the registration requirements of the Securities Act and an offering outside the United States in reliance on Regulation S.
